These Terms and Conditions of Use are legally binding. It is your responsibility to read these Terms and Conditions carefully prior to purchasing, accessing, or using any services, products, or materials provided by Rebecca Ellison Creative, LLC, including consulting, strategy, programs and digital services.


General Provisions

This website and all services are owned and operated by Rebecca Ellison Creative, LLC, a Washington, USA company.

You must be at least sixteen (16) years of age to use this website or engage services. Use of this website and services is at your own risk. While reasonable efforts are made to maintain a secure and professional experience, no guarantees are made regarding uninterrupted access or specific outcomes.

These Terms and Conditions are subject to change at any time without notice.


Scope of Agreement

Client desires consulting, strategy, design, coaching, digital programs, or creative services for business-related purposes. Rebecca Ellison Creative, LLC (“Service Provider”) agrees to provide such services according to the terms outlined in this Agreement, the associated proposal, invoice, or written agreement.


Services

“Services” include, but are not limited to:

  • Business consulting and strategy

  • Brand strategy and messaging

  • Copywriting (web, email, sales, content)

  • Design direction or creative development

  • Audits, assessments, and advisory services

  • Programs and digital products

Services are limited strictly to what is outlined in the proposal or invoice.
Execution, implementation, ad management, publishing, or technical setup is not included unless explicitly stated in writing.

Requests outside the agreed scope may require additional fees, revised timelines, or a new agreement.


Payment Terms

  • Invoices are due upon receipt unless otherwise stated

  • Work begins only after payment is received

  • Monthly retainers are billed in advance

  • Late or unpaid invoices may result in paused work until resolved

All payments are non-refundable once work has begun.


Revisions Policy

Unless otherwise stated in writing:

  • Creative deliverables include minor revisions

  • Revisions are for refinement, not new creative directions

  • Additional revisions, scope changes, or new concepts may be billed separately


Timelines & Client Responsibilities

Project timelines depend on timely access to materials, approvals, and feedback from Client.

Client agrees to:

  • Provide requested assets promptly

  • Review deliverables within a reasonable timeframe

  • Communicate delays proactively

Delays caused by Client may impact delivery dates and do not constitute breach of contract.


Communication

Primary communication will occur via email or Voxer, as agreed at project start.

  • Responses occur during normal business hours

  • Urgent or off-hours requests may require adjusted timelines or additional fees


Retainers & Cancellations

  • Monthly retainers require 30 days’ written notice to cancel

  • No refunds for partially completed billing periods

  • Unused work does not roll over unless explicitly agreed in writing


Intellectual Property

Upon full payment:

  • Final deliverables are owned by Client

  • Drafts, concepts, frameworks, and unused creative remain the property of Rebecca Ellison Creative, LLC

Service Provider retains the right to showcase work in portfolios, case studies, and marketing unless otherwise requested in writing.


Performance Disclaimer

Service Provider does not guarantee outcomes including, but not limited to:

  • Revenue

  • Conversions

  • Lead volume

  • Ad or campaign performance

Results depend on many factors outside Service Provider’s control, including execution, market conditions, and Client decisions.


Refund Policy

All payments are non-refundable once work has commenced.
Strategy and creative services involve time, expertise, and intellectual labor that cannot be returned.


Termination

Either party may terminate this Agreement with written notice.

  • Work completed up to termination will be billed accordingly

  • Access to files or deliverables may be paused if invoices remain unpaid


Confidentiality

Both parties agree to maintain confidentiality regarding proprietary, sensitive, or non-public business information shared during the engagement.


Force Majeure

Neither party shall be held liable for failure or delay due to events beyond reasonable control, including but not limited to illness, natural disasters, emergencies, or government actions.


Limitation of Liability

Client agrees that the maximum amount of damages for any claim relating to this Agreement shall not exceed the total amount paid for Services.


Indemnification

Client agrees to indemnify and hold harmless Rebecca Ellison Creative, LLC from any claims, damages, or losses arising from Client’s use of the Services or deliverables.


Non-Disparagement

Both parties agree not to make public statements that would materially harm the reputation or business of the other.


Governing Law

This Agreement shall be governed by the laws of the State of Washington.


Severability

If any provision of this Agreement is deemed unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or agreements.


Dispute Resolution

The parties agree to attempt good-faith negotiation and mediation prior to pursuing legal action.


Friendly Closing Clause

These terms exist to create a clear, respectful, and professional working relationship—so expectations are aligned, communication is clean, and the work can move forward smoothly.
